Binding Arbitration

Any dispute arising from or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration will be conducted by the American Arbitration Association (AAA) under its rules. The arbitrator's decision will be final and binding. You and Dossier each waive the right to a trial by jury or to participate in a class action.

Class Action Waiver

You and Dossier agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action. Neither you nor Dossier may act as a class representative or participate as a member of a class of claimants.

Exceptions

Either party may seek equitable relief in court for infringement or other misuse of intellectual property rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

14. Force Majeure

Dossier shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Any attempted transfer or assignment in violation hereof shall be null and void.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Dossier concerning the Service. These Terms supersede all prior agreements and understandings between you and Dossier regarding the Service.
